Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and RocketPayCRM Solutions LLC, doing business as RocketPayCRM ("RocketPayCRM," "we," "us," or "our"), and govern access to and use of RocketPayCRM's websites, applications and services. By creating an account, purchasing a subscription or using RocketPayCRM, you agree to these Terms. If you use the service for an organization, you represent that you are authorized to bind that organization.

2. The Service

RocketPayCRM provides software tools for customer relationship management, invoicing, workflow automation, reporting and payment-related integrations. RocketPayCRM is a software provider and is not a bank. Unless expressly stated otherwise, payment processing and movement of funds are performed by independent third-party payment providers subject to their own terms and approval requirements.

3. Accounts

You must provide accurate information, keep account credentials secure and promptly notify us of suspected unauthorized access. You are responsible for activity occurring under your account and for configuring user permissions appropriately.

4. Business and Customer Responsibilities

You are responsible for the legality, accuracy and content of the data, invoices, products, services, communications and transactions you create or manage through RocketPayCRM. You must obtain all permissions and consents required to store or process information about customers, prospects, employees or other individuals.

5. Acceptable Use

You may not use RocketPayCRM to violate law; commit or facilitate fraud, money laundering, theft, phishing or deception; distribute malware; interfere with platform security; infringe intellectual property or privacy rights; send unlawful spam; impersonate others; or conduct transactions prohibited by applicable payment-provider rules. We may restrict or suspend accounts that present legal, security, compliance or abuse risks.

6. Fees and Subscriptions

Paid features may require recurring subscription fees. Prices, included usage and billing intervals are presented at purchase. Unless otherwise stated, subscription fees are billed in advance and are non-refundable except where required by law. We may change prices or plan features with reasonable notice.

7. Payment Providers and Financial Transactions

Any ability to accept, send, receive, refund or otherwise facilitate payments may depend on third-party providers. Those providers may require identity or business verification, impose reserves or limits, delay or reject transactions, or suspend access under their own rules. RocketPayCRM does not control banking networks or third-party approval decisions and is not responsible for funds held or actions taken by a payment provider except to the extent required by applicable law.

8. Taxes and Recordkeeping

You are responsible for determining, collecting, reporting and paying taxes associated with your business and transactions. RocketPayCRM does not provide tax, accounting or legal advice.

9. Intellectual Property

RocketPayCRM Solutions LLC and its licensors own the RocketPayCRM software, branding, design and platform content and are protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service during your authorized subscription. You retain ownership of the business data you submit, subject to the rights needed for us to host, process and provide the service.

10. Confidentiality

Each party may receive non-public information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the service, except where disclosure is required by law.

11. Third-Party Services

RocketPayCRM may integrate with third-party products. We are not responsible for third-party services, availability, security, data practices or terms. Your use of those services may require separate agreements.

12. Suspension and Termination

You may stop using the service at any time. We may suspend or terminate access for nonpayment, material breach, suspected fraud, unlawful activity, security risk, abuse, or when required by law or a third-party provider. Where practical, we may provide notice and an opportunity to cure non-urgent violations.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCKETPAYCRM SOLUTIONS LLC DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED SERVICE, A PARTICULAR BUSINESS RESULT, PAYMENT APPROVAL OR THAT EVERY ERROR WILL BE CORRECTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCKETPAYCRM SOLUTIONS LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOSS OF DATA OR BUSINESS INTERRUPTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCKETPAYCRM SOLUTIONS LLC'S AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO ROCKETPAYCRM FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless RocketPayCRM Solutions LLC and its affiliates, personnel and service providers from third-party claims, damages, losses and reasonable expenses arising from your unlawful use of the service, your business activities, your content or data, or your violation of these Terms.

16. Governing Law and Disputes

Unless a different jurisdiction is required by applicable law or specified in a separate written agreement, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Venue for disputes will lie in the state or federal courts located in Texas.

17. Changes

We may update these Terms from time to time. Material changes will be posted with an updated effective date and, when required, additional notice. Continued use after the effective date of revised Terms constitutes acceptance of the changes.
